CRAYONS CRM PTY LTD TERMS AND CONDITIONS
Effective Date: 28/03/2025
1. Introduction
This Agreement ("Agreement") is entered into between Crayons CRM PTY LTD ("Company," "we," "us," "our") and the Customer ("Client," "you," "your"). By engaging our services, you agree to the terms of this Agreement.
2. Definitions
Client: The individual or business engaging Crayons CRM PTY LTD services.
Services: Software, CRM solutions, property management tools, and related offerings provided by Crayons CRM PTY LTD.
Agreement Term: Duration the Client uses Crayons CRM PTY LTD services.
Confidential Information: Non-public data exchanged between Crayons CRM PTY LTD and the Client.
Force Majeure: Events outside the reasonable control of either party preventing fulfillment of obligations.
3. Services Provided
Crayons CRM PTY LTD provides comprehensive CRM and property management solutions, including:
Automated marketing and lead nurturing
AI-powered tenant communication
SMS notifications and tenancy database integration
4. Acceptance & Contractual Engagement
By accessing or using Crayons CRM PTY LTD services or electronically signing up, you explicitly acknowledge and agree to these Terms and Conditions.
5. Registration & Account Security
Clients must ensure all registration details are accurate and kept current. Passwords and login credentials must remain confidential and secure. Crayons CRM PTY LTD assumes any actions taken under your account are authorised by you unless notified immediately otherwise.
6. Payment Terms
Contract Terms: Month-to-month subscription.
Payment Method: Direct Debit preferred. Alternative methods available upon request.
Late Payments: Payments overdue by more than 7 days incur late fees.
Suspension: Services may be suspended if payments exceed 14 days overdue.
7. Pricing & Fee Adjustments
Crayons CRM PTY LTD may offer introductory, discounted, or special pricing which is subject to change. Prices may increase after an introductory period, and Crayons CRM PTY LTD reserves the right to adjust fees with 30 days’ prior notice. Continued use after notice constitutes acceptance of adjusted pricing.
8. Term and Termination
Agreement continues on a month-to-month basis.
Either party may terminate with 30 days’ written notice.
Crayons CRM PTY LTD reserves the right to terminate services immediately for non-payment, fraud, or breach of terms.
9. Client Responsibilities
Provide accurate, current data for property listings and tenant processing.
Ensure compliance with relevant real estate and fair trading laws.
Maintain confidentiality and security of login credentials; prevent unauthorised access.
Do not resell, misuse, or redistribute Crayons CRM PTY LTD software without explicit consent.
10. User Management (Invited Users)
Clients are responsible for managing all users invited onto the platform, ensuring their compliance with these terms, and remain liable for any breaches committed by invited users.
11. Confidentiality & Data Protection
Crayons CRM PTY LTD commits to protecting all client-provided data per the Privacy Act 1988 (Cth).
Client must safeguard login details, avoiding unauthorised third-party access.
Crayons CRM PTY LTD may use anonymised data for analytics and service improvements.
Client retains ownership of all data provided or uploaded into the Crayons platform. Upon termination, data retrieval is permitted within 30 days; data may thereafter be permanently deleted.
Crayons CRM PTY LTD may utilise aggregated and anonymised tenant data to generate analytical profiles and predictive models for marketing optimisation purposes, including the creation of targeted or similar audience segments on third-party digital advertising platforms. Client acknowledges and consents to this usage.
12. Data Breach and Security
Clients must immediately notify Crayons CRM PTY LTD of any suspected data breach or unauthorised access and fully cooperate with investigations or remedial actions required by law or requested by Crayons CRM PTY LTD.
13. Intellectual Property
All software, interfaces, documentation, and data analytics developed or provided by Crayons remain the intellectual property of Crayons. Clients have a limited, non-transferable, non-exclusive right to use the services solely for internal business purposes.
14. Warranty Disclaimer
Services provided by Crayons are offered "as is" without any express or implied warranties. Crayons does not guarantee uninterrupted service, error-free operation, or suitability for any particular purpose.
15. Liability, Limitation & Indemnity
Crayons CRM PTY LTD is not liable for indirect, incidental, or consequential damages from service use.
Client indemnifies Crayons CRM PTY LTD against claims or damages arising from misuse.
Crayons CRM PTY LTD's total liability under this Agreement shall be limited to the fees paid by the Client within the preceding 12 months.
Crayons CRM PTY LTD is not responsible for disruptions due to Force Majeure events (e.g., natural disasters, cyberattacks).
16. Amendments & Updates
Terms may be updated with 30 days' notice.
Continued service use constitutes acceptance of updated terms.
17. Links and Third-Party Integrations
Services may include third-party links or integrations. Crayons CRM PTY LTD is not responsible for third-party content or services, governed by separate terms.
18. Feedback and Suggestions
Clients grant Crayons CRM PTY LTD a worldwide, perpetual, royalty-free license to use feedback, suggestions, or recommendations provided to improve services.
19. Assignment
Neither party may assign, transfer, or sublicense this Agreement without prior written consent from the other party, except in cases involving mergers, acquisitions, or asset sales.
20. Severability
If any provision in these Terms is held invalid or unenforceable, such provision will be modified minimally necessary, with the remainder enforceable.
21. Notices
All notices, including termination and amendments, must be in writing via email to official contact details. Notices are considered delivered upon confirmed receipt.
22. Governing Law
This Agreement is governed by Queensland, Australia law. Disputes shall be resolved under Brisbane court jurisdiction.
23. Dispute Resolution
Parties must first attempt resolution via mediation. Unresolved disputes proceed to arbitration in Brisbane, Queensland, with each party bearing its own costs.
24. Entire Agreement
These Terms represent the entire agreement regarding Crayons CRM PTY LTD services, superseding all prior communications or agreements.
